Tsoi Ming Chi ("Tsoi") has a deemed interest in shares in the Company held by GNR by virtue of Section 7 of the Companies Act, as (i) Tsoi is the legal and beneficial owner of more than 20% interest in General Nice Development Limited ("GND") and General Nice Investment (China) Limited ("GNI") respectively, and (ii) each of GND and GNI is the beneficial owner of more than 20% interest in the GNR. The percentage of issued share capital is based on the issued share capital of 245,246,947 shares.

Purchase via a married deal Pursuant to a married deal agreement between General Nice Resources (Hong Kong) Limited ("GNR") and Yorkville Advisers, LLC on 24 May 2011, the total number of shares held by GNR in Abterra Ltd. was increased by 2,100,000 shares. As a result, Vantage Region International Limited's deemed interest in Abterra Ltd. was increased.
